Data Driver Responsible Use and Indemnification Agreement
Effective version: DD-RU-2026-10-20-1 — October 20, 2026
This version applies prospectively when presented by Data Driver. Earlier agreement records remain unchanged.
1. Parties, scope, and acceptance
This Agreement is between you and Pipeline Lite LLC dba Data Driver, at 4950 Gulf Blvd, St Pete Beach, FL 33706, contact keith@pipelinelite.com (the Operator). Data Driver means the Operator's data service. You means the individual accepting this Agreement, or, when that individual has authority to act for a specifically identified organization, that organization. You represent that the account and organization details you provide are accurate and that you have authority to bind that organization. If you lack that authority, do not obtain platform access or request Data on its behalf.
This Agreement governs your acquisition, possession, disclosure, and use of data supplied through Data Driver, including exported files and copies you place in other systems (Data). You purchase access to the platform, not ownership of Data. This Agreement supplements the Terms and Conditions and the actual platform-access offer disclosed and accepted for your account. It does not itself change a price, subscription term, refund policy, commission arrangement, or ownership of a customer account. A referral relationship does not give a referrer permission to communicate as, access the account of, or make decisions for a referred customer.
Before accepting, you must have access to the entire Agreement in readable form and be able to save or print it. Acceptance requires your affirmative selection of the displayed acknowledgment and submission of the corresponding data request or download action. Every data request and every new download action requires fresh affirmative acceptance. An unselected box, mere visit, login, prior membership, earlier acceptance, or earlier platform-access purchase does not satisfy a later action. Your account may make up to 10 data requests per calendar day, measured in America/New_York time, subject to the other applicable service conditions, with a maximum of 10,000 records per request across all pages and parts. These are daily request and per-request record limits, not a monthly request allowance. Your acceptance is an agreement about responsible data use; it is not any data subject's consent to receive marketing.
2. Data is not permission to contact a person
A record's presence in Data Driver, its public availability, a vendor label, email validation, a deliverable address, a phone-number match, or your payment for platform access does not by itself establish consent, a business relationship, a lawful purpose, or permission to contact that person. Data may be incomplete, inaccurate, outdated, reassigned, or subject to restrictions that are not visible in an exported record. No label such as “verified,” “business,” or “mobile” is a legal conclusion about an intended communication.
You must determine the lawful basis and permissions required for each intended use, each recipient, each communication channel, and each applicable jurisdiction. If supporting evidence is missing, conflicting, expired, or withdrawn, you must not proceed with a use that requires that evidence. Do not infer consent to calls from consent to email, consent to one seller from a relationship with another, or consent for a new purpose from an unrelated transaction. Keep usable evidence of the actual scope of any permission on which you rely.
3. Calls, texts, prerecorded messages, and artificial voices
The TCPA regulates specified calls using an automatic telephone dialing system or an artificial or prerecorded voice, including covered calls to wireless numbers and certain protected lines. Applicable consent requirements depend on the technology, recipient, purpose, and any valid exception. Do not claim an emergency, nonprofit, healthcare, or other exception merely to avoid obtaining permission. A manually sent message is not automatically covered by every federal autodialer restriction; neither is it automatically lawful under all other rules. See 47 U.S.C. §227.
For covered advertising or telemarketing calls and texts, obtain prior express written consent where required. The agreement must identify the authorized seller, telephone number, covered technology and messages, bear a legally valid signature, and clearly state that the recipient need not consent as a condition of buying goods or services. Do not use your acceptance of this Agreement as that consent. Follow applicable do-not-call, identification, opt-out, and calling-time rules. Marketing texts can also be subject to do-not-call protections, even when a particular autodialer restriction does not apply. Accept reasonable revocation methods, including ordinary stop-language replies; do not force an exclusive method. Honor covered revocations promptly, no later than ten business days, and sooner when applicable law requires. See 47 C.F.R. §64.1200.
AI-generated or cloned human voices can fall within the artificial/prerecorded-voice restrictions. An interactive AI system is not exempt simply because it creates speech in real time. Follow the applicable consent, caller-identification and opt-out requirements for the actual call. See FCC 24-17.
Maintain and use internal suppression lists. For covered telemarketing, access and scrub against required national and state do-not-call lists, using a National Registry version no more than 31 days old where required. Respect entity-specific requests even when a business relationship might otherwise permit a call. Check applicable local-time calling windows, registration rules and other state restrictions. Train and supervise your calling vendors; a supplier's assurances do not replace your compliance controls. See FTC telemarketing guidance.
Data Driver contractual suppression rule: For marketing using Data, stop further marketing calls and texts to a recipient as soon as you receive an unambiguous stop request, across your vendors using Data. This is a service-use commitment and may be stricter than a particular statutory deadline or exception. It does not authorize withholding legally required notices or expanding marketing consent. Apply any valid statutory exception only to its actual scope; it does not suspend other revocation duties.
4. Commercial email and CAN-SPAM
Commercial email requirements can apply to individual messages and business-to-business messages, not only bulk campaigns. Membership or an existing customer relationship does not remove the recipient's marketing opt-out rights. You remain responsible for supervising others who send for you. A contractual allocation of work does not eliminate responsibilities imposed by law. See FTC CAN-SPAM guidance.
For commercial email, use accurate sender, routing and reply information; truthful subjects; required identification as advertising or solicitation; a valid physical postal address; and a conspicuous, functioning unsubscribe mechanism. The statutory advertising-identification exception for prior affirmative consent does not eliminate other requirements. Keep the unsubscribe mechanism working for at least 30 days after transmission and honor requests within ten business days. Include a way to stop all your commercial email. Do not sell, transfer, or release suppressed addresses except as law permits for compliance or another lawful statutory purpose. Do not use prohibited address harvesting, dictionary attacks, deceptive relays, or automated account creation to facilitate unlawful messages. See 15 U.S.C. §7704.
Do not charge for opting out, require login or unnecessary identifying information, or make recipients navigate beyond a permitted reply or single web page. Classify mixed-content email by its actual primary purpose, including subject, placement and prominence of promotional content. Do not disguise advertising as an account notice. If sexually oriented content is legally permitted and otherwise authorized under your data license, comply with the special subject-label and initial-display rules unless a valid exception applies; this clause grants no permission to send such content. See 16 C.F.R. Part 316.
Federal CAN-SPAM generally does not impose a universal opt-in requirement for ordinary commercial email. This does not override opt-outs, other applicable laws, platform restrictions or a specific consent requirement. You must independently satisfy each applicable condition before sending.
5. Other lawful-use and security commitments
Data is supplied for your own business or personal lawful use, within your platform-access plan and this license. You may not store or accumulate Data for resale, resell it, redistribute it, publish it, sublicense it, supply it as a list or database to others, or use it to offer a competing data supply service without Data Driver’s express consent. Express consent must specifically identify the permitted use; a referral or wholesaler label, payment, silence, download capability or a third-party instruction is not consent. An authorized wholesaler participates in referral-link commissions; that role grants no data resale rights. You will not use it for fraud, harassment, threats, stalking, unlawful discrimination, impersonation, evasion of suppression requests, or deceptive marketing. This platform does not authorize use of Data for credit, insurance, employment, housing or other regulated eligibility decisions. Platform access supplies no consumer-reporting authorization.
You will comply with applicable privacy, data-protection, telemarketing, consumer-protection, recording, security and sector-specific laws, including stricter state or local rules where applicable. These federal summaries are not an exhaustive statement of every jurisdiction's law. Do not send outside the permitted geographic scope of your access plan based on this Agreement alone.
Protect Data with access controls appropriate to its sensitivity, limit access to authorized personnel and contracted processors with a legitimate need, and do not expose it through public files or shared credentials. Give recipients of permitted disclosures equivalent use and security restrictions. Any permitted service provider must act only for your own authorized use, have no independent resale or reuse right, and follow applicable confidentiality, security and deletion requirements. Data Driver’s express consent is required for any resale or redistribution beyond that limited service-provider processing. Apply documented retention and deletion practices consistent with law, your license and valid preservation obligations. Preserve the minimum lawful suppression information needed to avoid contacting someone again.
Maintain reliable records of permissions, source, purpose, campaign versions, suppression checks, revocations, complaints, authorized disclosures and relevant actions sufficient to demonstrate compliance. Notify the Operator through its published support channel without undue delay after discovering material misuse or unauthorized disclosure involving Data. Cooperate reasonably with a lawful investigation, while protecting personal information and privileged material. Do not submit sensitive evidence or credentials through an unsecured channel.
6. Your responsibility; no compliance certification
You are responsible for outreach you conduct or authorize: selecting recipients; choosing methods, technology, channels, content and timing; establishing and keeping required consent evidence; checking do-not-call and other suppression requirements; honoring revocation and opt-outs; supervising personnel and vendors; and complying with applicable law. Choosing a vendor, using automation or accessing Data through this platform does not transfer those responsibilities to Data Driver. This allocation concerns your conduct and does not eliminate a duty or liability that the law places on Data Driver for its own conduct. You must obtain appropriate legal advice where needed. Data Driver's software checks, exports, explanatory material or acceptance receipts do not certify your campaign, guarantee legal compliance, or replace recipient permission. Nothing here disclaims the Operator's own duties under applicable law or liability that cannot lawfully be excluded. No promise that Data is error-free, or that any particular campaign will succeed, is created by this Agreement; separately accepted express commitments remain unaffected.
The Operator may restrict the affected data use or download when it reasonably identifies a material breach or unlawful use, subject to applicable law and the governing service terms. This provision does not itself authorize a new charge, confiscation of earned compensation, or alteration of an existing refund entitlement. Where practicable and lawful, the Operator will identify the restriction and a means to raise an error or provide relevant evidence.
7. Indemnification of Data Driver
To the extent permitted by applicable law, you will defend, indemnify and hold harmless the Operator and its officers, directors, employees and agents acting for Data Driver (the Protected Parties) from third-party claims and proceedings, and resulting damages, judgments, reasonable settlements, reasonable external legal fees and reasonable defense costs, to the extent caused by: (a) your material breach of this Agreement; (b) your unlawful or unauthorized use, disclosure, or communication using Data; or (c) acts or omissions of persons acting on your behalf in that use. This includes claims alleging unlawful calls, texts or email, violation of privacy rights, or failure to honor permissions or suppression requests, where attributable to the conduct described above.
This obligation does not cover a Protected Party's own breach, negligence, willful misconduct, unlawful conduct, or other responsibility to the extent the loss was caused by that Protected Party. Fines, penalties, punitive damages and other amounts are covered only if and to the extent the applicable law permits their indemnification. Nothing transfers a regulator's authority, eliminates a third party's rights, waives a nonwaivable consumer protection, or prevents you from reporting conduct or cooperating with a regulator.
The Operator must provide reasonably prompt notice of a covered claim; delayed notice reduces your obligations only to the extent it materially prejudices your defense. You may control the defense with qualified counsel reasonably acceptable to the affected Protected Party. The Protected Party will reasonably cooperate at your expense and may participate with its own counsel at its own expense, except that reasonable separate-counsel costs caused by a material conflict of interest are included to the extent legally recoverable. You may not settle a claim in a way that admits wrongdoing by a Protected Party, imposes a nonmonetary obligation on it, fails to release it from the covered claim, or requires it to pay without its prior written consent, which will not be unreasonably withheld for a reasonable, fully funded settlement. If you fail to assume a required defense after reasonable notice, the Protected Party may defend and seek reasonable covered costs, subject to the same exclusions and applicable law.
This indemnity concerns third-party claims and does not create automatic account debits, an unrestricted power to settle at your expense, or a release of the Operator's own responsibility. Obligations arising from covered use during the Agreement survive account closure to the extent permitted by law.
8. Records, changes, and preserved rights
Data Driver will identify the version presented for acceptance and record the affirmative action and associated request or download. An acceptance receipt proves the recorded action, not that every Data subject consented to contact or that every campaign is lawful. You may request or save the applicable Agreement and your acceptance record through the disclosed account or support process.
A replacement version applies prospectively when validly presented and accepted as required; it does not silently rewrite earlier receipts. If a provision cannot lawfully be enforced, it applies only to the lawful extent and the remaining provisions continue to the extent permitted by law. No arbitration requirement, chosen court, governing jurisdiction, jury waiver, class-action waiver, damages cap or refund rule is added by this Agreement.
